Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Nomie, a wellness companion application and related services (collectively, the "Services") provided by SoulCypher LLC ("we," "our," or "us").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Services.

Description of Services

Nomie is a wellness companion app designed to help users manage stress and anxiety through:

• Interactive digital wellness exercises and fidget tools
• AI-powered conversational support for emotional wellness
• Journaling and mood tracking features
• Personalized content feed ("Bloomscrolling")
• Cognitive behavioral therapy (CBT) based exercises

Eligibility

You must be at least 13 years old to use our Services. If you are under 18, you represent that you have your parent or guardian's permission to use the Services. By using our Services, you represent and warrant that you meet these eligibility requirements.

Account Registration

You may use our Services with a device-based account or by creating a linked account. When creating an account, you agree to:

• Provide accurate and complete information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account

User Content

You may submit content through our Services, including journal entries, messages, and other materials ("User Content"). You retain ownership of your User Content, but grant us a limited license to:

• Store and process your User Content to provide the Services
• Use anonymized, aggregated data to improve our Services
• Back up your User Content for data protection purposes

We will not sell your personal User Content or use it for advertising purposes without your explicit consent.

Acceptable Use

When using our Services, you agree not to:

• Violate any applicable laws or regulations
• Attempt to harm, abuse, or harass others
• Interfere with or disrupt the Services
• Attempt to gain unauthorized access to our systems
• Use the Services for any commercial purposes without authorization
• Reverse engineer or attempt to extract our source code
• Misrepresent your identity or affiliation

Subscriptions and Payments

Some features of our Services may require a paid subscription. If you purchase a subscription:

• You authorize us to charge your payment method for the subscription fees
• Subscriptions automatically renew unless cancelled before the renewal date
• You may cancel your subscription at any time through your account settings or app store
• Refunds are handled according to the applicable app store's policies

Intellectual Property

The Services, including all content, features, and functionality (excluding User Content), are owned by SoulCypher LLC and are protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works from our Services without our express written permission.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOULCYPHER LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING FROM YOUR USE OF THE SERVICES.

Our total liability for any claims arising from these Terms or your use of the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE, OR THAT ANY DEFECTS WILL BE CORRECTED.

Termination

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice. You may terminate your account at any time by contacting us or through the app settings.

Upon termination, your right to use the Services will immediately cease, and we may delete your User Content in accordance with our data retention policies.

Changes to Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms and updating the "Last updated" date. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
